M&A ADVISORY

Win the deal long before the signing

A deal closes once; you live with the outcome for years.

A transaction is on the horizon. A buyer has made an approach. A competitor is for sale and the window is open. An LOI is sitting on the desk with terms the operator has never had to read before. The deal is the largest decision the business has faced, and the people across the table do this every day.

At Arrowroot Business Advisors, the deal is run by the senior advisor who already knows the business, often the same one who has been in the finance function alongside you. The advice on whether to do the deal, and on what terms, is built around what is right for your business, because our fee does not depend on the deal closing.

01

The first call

The engagement starts with a direct conversation about the deal or the possibility of one. The operator lays out what is on the table and the senior advisor asks the questions that decide how to move. By the end, the operator knows whether the deal is worth pursuing and what running it together would involve.

02

Inside the business

Before going to market or to the table, the senior advisor learns the business and its numbers. The financials, the contracts, the customer base, and the operating model get reviewed the way a buyer's team will review them. The operator learns where the business is strong and where it will draw questions.

03

The plan

The transaction strategy gets written in plain terms. It covers positioning, the model, the diligence preparation, and the negotiating priorities that will matter most when the terms get drawn. With the plan in hand, the operator knows the path to close and what each stage will ask of the business.

04

In the work

This is the deal being run. The senior advisor is in the model, in the diligence, and at the negotiating table, coordinating counsel and lenders while shielding the operator from the churn. The operator keeps running the business while the transaction gets driven alongside them.

05

Through the next decision

A close is rarely the end of our relationship. The same advisor handles the post-close work, the integration, the next raise, or the next deal, with the knowledge they learned before. When the next decision lands, the operator can call the same person.

The advisor at the table has sat there before.

The senior advisor you know is the one who runs the deal. There is no junior team executing behind a partner who made the pitch and stepped back. The person across the table from the buyer is the same person the operator has been talking to since the first call.

That advisor already knows the business, often from running its finance function, which is where M&A Advisory meets Outsourced CFO and Exit Planning. The principals of each department carry a concentrated client load and run the deals themselves, with depth across both operating and transaction finance.

M&A Advisory

Sits beside the operating finance work rather than off on its own track. The senior advisor running the business through the deal is the one who has been in the numbers alongside the operator all along. That advisor already knows the business well enough to know what is worth holding the line on at the term sheet.

Business Consulting

Sits in the space between the numbers and the key decisions that will direct the future of the business. Because the same advisor oversees the finance function and the deals, their advice accounts for where the business is heading as much as where it stands today.

Exit Planning

Sits at the far end of the operating relationship, where the years of finance work either pay off or come up short. It’s founded in the strategy, execution, reporting, margins, and clean financials a buyer will underwrite. The same advisor who built the finance function is the one who readies it for the day a buyer looks closely.
